1. Introduction and Acceptance
These Terms of Use (“Terms”) govern your access to and use of the website, network, software development kits (“SDKs”), application programming interfaces (“APIs”), and related services (collectively, the “Service”) made available in connection with QDay, a post-quantum, EVM-compatible blockchain network (“QDay” or the “Network”), provided by PQA Labs Limited (“PQA Labs,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
These Terms incorporate by reference our Disclaimer and Risk Disclosure, each published as a standalone document. Please read them before using the Service.
2. Definitions
- “QDay” or “Network” means the post-quantum, EVM-compatible blockchain network, including its mainnet, any testnets, and associated protocol software.
- “Digital Assets” means any cryptographically secured digital representation of value or rights that may be created, held, or transferred using the Service, including any native token used for network fees or settlement on QDay.
- “Agent” means any autonomous or semi-autonomous software, bot, or AI system that initiates or executes transactions on the Network on a User's behalf, including via the x402 protocol or similar agent-payment standards.
- “Smart Contract” means self-executing code deployed on the Network by PQA Labs, a User, or a third party.
- “Validator” or “Node Operator” means a person or entity that operates infrastructure participating in validating transactions and producing blocks on the Network.
- “SDK” and “API” mean the software development kits and application programming interfaces PQA Labs makes available from time to time to build on or interact with QDay.
- “User Content” means any code, data, or other material you submit, deploy, or transmit through the Service, including Smart Contracts you deploy.
- “you,” “User,” or “client” means the individual, entity, or Agent (and the individual or entity operating that Agent) accessing or using the Service.
3. Eligibility and Restricted Persons
You represent that you are at least 18 years old (or the age of legal majority in your jurisdiction) and have full legal capacity to enter into these Terms. You represent that you are not (a) located in, incorporated in, or a resident of any jurisdiction subject to comprehensive sanctions administered by the United Nations, the United States (OFAC), the European Union, the United Kingdom, or Hong Kong, or (b) listed on any sanctions or denied-party list maintained by such authorities. You are solely responsible for ensuring your use of the Service complies with the laws applicable to you, including any restrictions on the use of blockchain networks or digital assets in your jurisdiction.
4. Description of the Service
QDay provides blockchain network infrastructure, SDKs, and APIs that developers, Agents, and businesses may use to build applications, transact, and settle payments — including micropayments and agent-to-agent commerce — on a post-quantum, EVM-compatible network designed for sub-second settlement. PQA Labs does not provide custody of your Digital Assets, does not operate as a money service business, virtual asset trading platform, or broker, and does not guarantee the value, liquidity, or availability of any Digital Asset.
5. Wallets and Non-Custodial Access
Access to QDay is generally via third-party, non-custodial wallets compatible with EVM-based networks. You are solely responsible for the generation, storage, and security of your private keys and seed phrases. PQA Labs does not have access to, and cannot recover, your private keys, seed phrases, or wallet passwords. If you lose access to your wallet, any Digital Assets associated with it may become permanently inaccessible, and PQA Labs will have no liability for that loss.
6. Acceptable Use and Prohibited Conduct
You agree not to, and not to permit any Agent acting on your behalf to:
- use the Service for any unlawful purpose, including money laundering, terrorist financing, fraud, or sanctions evasion;
- attempt to disrupt, degrade, or attack the Network, including through denial-of-service attacks, spam transactions, or attempts to compromise consensus or Validator infrastructure;
- exploit vulnerabilities in Smart Contracts, the Network, or the APIs/SDKs, or introduce malicious or unauthorized code;
- deploy an Agent that you do not have the ability to monitor, pause, rate-limit, or otherwise control;
- misrepresent your identity or affiliation, or impersonate any person or entity; or
- copy, modify, distribute, sell, reverse engineer, or decompile any part of the Service, except as expressly permitted by an applicable open-source license or by law.
7. Node Operators and Validators
If you choose to operate a Validator or run Network infrastructure, you are solely responsible for the hardware, software, security, and connectivity required to do so, and for complying with any technical or eligibility requirements PQA Labs publishes from time to time. PQA Labs does not guarantee any reward, fee income, or return from operating a Validator, and does not control whether your infrastructure resources are selected to validate or produce blocks.
8. APIs and SDKs
Your use of the APIs and SDKs is subject to any additional technical specifications, rate limits, or security requirements PQA Labs publishes. You warrant that your integration is free of malicious code, and you agree not to interfere with, disrupt, or attempt to exploit the APIs, SDKs, or the servers and infrastructure supporting them. You are solely responsible for any application, Agent, or service you build using the SDKs or APIs, including its compliance with applicable law and its handling of any end-user or Agent data.
9. Intellectual Property
PQA Labs retains all right, title, and interest in the Service and its content, other than open-source components released under their own licenses, including the QDay name and logo, which may not be used without our prior written consent. Subject to these Terms, PQA Labs grants you a limited, non-exclusive, non-sublicensable license to access and use the Service for its intended purpose.
10. User Content and Feedback
You retain ownership of your User Content, including Smart Contracts you deploy. By submitting User Content, you grant PQA Labs a worldwide, non-exclusive, royalty-free license to use, reproduce, and display it solely in connection with operating, securing, and improving the Service. Any feedback you voluntarily provide about the Service may be used by PQA Labs without restriction or compensation to you.
11. Fees
Use of the Network may require payment of network (gas) fees or other charges disclosed at the point of use, which are subject to change and are generally non-refundable once a transaction is confirmed on-chain.
12. Third-Party Services
The Service may integrate or interoperate with third-party wallets, bridges, oracles, exchanges, or applications, including those built on QDay by independent developers. PQA Labs does not control, endorse, or assume responsibility for such third-party services, and your use of them is at your own risk and subject to their own terms.
13. No Financial, Legal, or Tax Advice

14. Disclaimers of Warranties
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. PQA Labs does not warrant that the network, any smart contract, or any third-party application built on QDay will be free of vulnerabilities or errors.
15. Limitation of Liability
To the maximum extent permitted by law, PQA Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or digital assets, arising out of or relating to your use of the Service, including losses caused by an agent you deploy or operate. To the extent not prohibited by law, PQA Labs's aggregate liability for any claim arising out of these Terms shall not exceed the greater of (a) the fees you paid to PQA Labs in the twelve (12) months preceding the claim, or (b) USD 100.
16. Indemnification
You agree to indemnify and hold harmless PQA Labs, its officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party right, including any actions taken by an Agent you deploy or operate.
17. Suspension and Termination
PQA Labs may suspend or terminate your access to the Service (excluding the Network itself, which is decentralized and not solely within PQA Labs's control) at any time, with or without cause, including where we reasonably believe you have violated these Terms, applicable law, or sanctions requirements.
18. Force Majeure
PQA Labs shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including network outages, validator or consensus failures, protocol upgrades (including hard or soft forks), acts of government, natural disasters, or widespread internet or power disruptions.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of Hong Kong SAR, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force at the time the notice of arbitration is submitted. The seat of arbitration shall be Hong Kong, the tribunal shall consist of one arbitrator, and proceedings shall be conducted in English. Nothing in this clause deprives you of any protection you cannot be deprived of under the mandatory consumer-protection laws of your country of habitual residence, where applicable.
20. Severability, Entire Agreement, and Assignment
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. These Terms, together with the Disclaimer and Risk Disclosure, constitute the entire agreement between you and PQA Labs regarding the Service. You may not assign these Terms without our prior written consent; PQA Labs may assign these Terms in connection with a merger, acquisition, or sale of assets.
21. Changes to These Terms
PQA Labs may modify these Terms at any time. Material changes will be posted on this page with an updated “last revised” date and, where practicable, notified via the website or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
